WRCore Terms and Conditions of Use

Version 4.0 · Effective date: October 19, 2026

1. Acceptance and parties

These Terms are the contract between TECNOCOM USA CORP, a Florida corporation (registration P22000080755) ("TECNOCOM"), and the company that subscribes to WRCore (the "Customer"). They bind the Customer from the moment it accepts them, signs an order that refers to them or uses the service, and each user who accepts them; whoever accepts on the Customer's behalf represents that they have authority to do so. They include the Data Processing Agreement, and a signed order prevails in what it expressly governs. The Customer's consignees, shippers and recipients (the "End Customers") are not parties.

2. The service

TECNOCOM supplies the software only: it does not carry or consolidate cargo, clear customs, process payments or insure shipments, and is not liable for loss, damage, delay or seizure of goods or for penalties. The Customer issues its documents in its own name, checks the platform's results, including those of artificial intelligence, which can make mistakes, and is responsible for its operation, its goods and its communications, including those the platform sends in its name.

3. Accounts and users

Credentials are personal, and the Customer is responsible for what its users, its agents, its End Customers and anyone using its credentials do, except for a security failure attributable to TECNOCOM. It will report any unauthorized access without delay and will give its End Customers its own terms and the notices its law requires, including that it uses WRCore and, where applicable, artificial intelligence.

4. Acceptable use

It is prohibited to use the platform for unlawful purposes, such as smuggling, fraud, money laundering or false statements; to upload personal data without a legal basis; to test or attack its security without written authorization (a flaw discovered is reported only to TECNOCOM); to access others' data, or to damage or overload it. Copying the platform is also not allowed, nor its code, design or flows, reverse engineering it, reselling access, scraping data with bots, showing its screens to third parties to compare or replicate it, training artificial intelligence with it or using it to develop a competing product. The Customer complies with the laws applicable to its operation and its communications and represents that neither it nor its owners or users appear on United States sanctions lists or operate from embargoed territories.

5. Customer Data

The data the Customer uploads belongs to it. For personal data, the Customer is the controller and TECNOCOM the processor, under the Data Processing Agreement, and the Customer warrants that it has a legal basis to upload it and has informed the individuals. Data for which TECNOCOM is the controller is governed by the Privacy Policy. TECNOCOM may derive aggregated statistics that identify no one, and its backups do not replace the Customer's own.

6. Price and payment

The price, excluding taxes, and its billing period are those of the plan or of the signed order; unless otherwise agreed, it is billed in advance, in US dollars and due in 15 days, and registering a payment method authorizes its charge each period. Price changes are notified 30 days in advance and invoices must be disputed within 15 days. TECNOCOM may limit use that exceeds what was contracted and, with 30 days' notice, change or end free or promotional terms; if an invoice remains unpaid 10 days after a written notice, it may suspend access and, after 30 days of suspension, terminate. Amounts paid are not refunded, except where these Terms so provide.

7. Third-party services

Some features depend on third parties, whose terms the Customer accepts by using them; TECNOCOM is not liable for their failures or changes and may withdraw the affected feature.

8. Intellectual property

WRCore, with its software, design, brand and improvements, including those made at the Customer's request, belongs to TECNOCOM. During the contract, the Customer has only a limited, revocable, non-exclusive and non-transferable license for its own operation, and will not use brands or domains confusingly similar to WRCore. It authorizes TECNOCOM to use its data and logos to provide the service and to name it as a customer, unless it objects in writing, and TECNOCOM may freely use the suggestions it receives. Copyright infringement notices (17 U.S.C. § 512(c)(3)) are sent to the contact in Section 17; TECNOCOM may remove the content, accepts counter-notifications and, where appropriate, terminates the access of repeat infringers.

9. Confidentiality

Each party will use the other's non-public information only for this contract and protect it with reasonable care for the term of the contract and five years thereafter, and trade secrets for as long as they remain so. TECNOCOM's includes its code, its security and what is seen on its private screens or in demonstrations, also before subscribing. A signed confidentiality agreement remains in effect, with its own governing law and forum. Upon termination, each party will return or destroy, if asked, the other's information that it need not keep, and will certify it in writing within 10 days. Nothing prevents reporting a suspected violation of law to an authority.

10. Availability and warranties

TECNOCOM uses reasonable efforts, without guaranteed availability, may interrupt the service for maintenance and is not liable for incidents that occur despite reasonable security measures or that originate in the Customer's environment.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WITHOUT WARRANTING THAT IT WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR LOST PROFITS, AND EACH PARTY'S TOTAL LIABILITY, FOR ALL CLAIMS COMBINED, WILL NOT EXCEED WHAT THE CUSTOMER PAID TECNOCOM IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM, OR USD 100 IF THERE WERE NO PAYMENTS. For loss of data attributable to TECNOCOM and for breach of security, confidentiality or the Agreement, TECNOCOM's cap is what was paid in the previous twelve (12) months, not added to the former. Not limited are amounts owed, what the law does not allow to be limited, such as willful misconduct, or the Customer's liability under Sections 4, 9 and 12.

12. Indemnification

The Customer will defend and hold TECNOCOM harmless, with penalties, expenses and attorneys' fees, from claims by third parties or authorities arising from its operation, its goods, its data, its users or its breach, except to the extent caused by a breach by TECNOCOM. The Customer controls the defense and will not settle imposing obligations on TECNOCOM without its written consent.

13. Suspension and termination

The contract renews with each billing period. The Customer may terminate it for convenience with 30 days' written notice, without a refund, and TECNOCOM with 60, refunding the unused portion. Either party may terminate it if the other fails to cure a material breach within 30 days of being required to (with a refund of the unused portion if the Customer terminates), and TECNOCOM immediately in case of unlawful use, a sanctions risk, an attack on or copying of the platform, or the deliberate disclosure of its confidential information; it may also suspend, to the extent necessary, an account, feature or user for a security or legal risk or a prohibited use. Upon termination, the Customer has 30 days to export its data, which is deleted no later than 90 days after termination, except what the law requires to be kept and, outside End Customer data, what serves to defend rights. Amounts owed, the Data Processing Agreement for as long as Customer data is held, and Sections 2 to 5, 8 to 12, 14 and 16 survive.

14. Governing law and arbitration

The laws of Florida govern. After 30 days of good-faith negotiation, disputes are resolved by binding arbitration, not in court, administered by the American Arbitration Association (or its ICDR, if international), with a sole arbitrator seated in Miami, in Spanish and under the Federal Arbitration Act. Either party may bring an individual claim in the small claims court of Miami-Dade County or seek injunctive relief from any court to protect its intellectual property or confidential information, and if arbitration does not apply, the courts of Miami-Dade have jurisdiction. DISPUTES ARE INDIVIDUAL ONLY: THE PARTIES WAIVE CLASS ACTIONS AND TRIAL BY JURY. The prevailing party recovers its attorneys' fees and costs.

15. Changes

TECNOCOM may change features without substantially reducing what was contracted and withdraw a contracted module with 60 days' notice. Material changes to these Terms or to the Agreement are notified 30 days in advance and must be accepted on the platform, and whoever does not accept them may terminate beforehand, with a refund of the unused portion; changes required by law or security apply immediately.

16. General provisions

Force majeure excuses the parties, except from paying amounts accrued. The Customer may only assign the contract with TECNOCOM's written consent, except to a buyer of its business that is not a competitor; TECNOCOM may assign it to its group or with its business. These Terms and the documents the parties sign are the entire agreement; an invalid clause does not affect the others, tolerating a breach is not a waiver and the parties are independent. Notices are given in writing to the email in Section 17 or to the Customer's account email. Accepting on the platform is equivalent to signing, and TECNOCOM keeps a record of each acceptance. The Spanish text prevails.

WRCore Privacy Policy

Version 4.0 · Effective date: October 19, 2026

1. Who the controller is

WRCore is a service of TECNOCOM USA CORP ("TECNOCOM" or "we"), a Florida corporation in the United States, which is the controller of the data of the companies that subscribe to WRCore and their users, of visitors to our sites and of anyone who writes to us. If you are a customer of a courier company, that company is the controller of your data: WRCore processes it on the company's behalf, under the Data Processing Agreement, and you should contact the company first.

2. What data we process

  • From the companies' users: identifiers and contact details, professional information, login credentials, billing and payment data, platform activity, technical device data and their communications with us.
  • From the customers of each courier company, on its behalf: the identification, contact, shipment, billing and communication data that the company processes in WRCore, including through the messaging services it connects.
  • From visitors: online identifiers, such as the IP address, browsing data and whatever anyone who writes to us chooses to give us.

3. What we use it for

To provide the service and support; protect the platform and prevent fraud; bill; communicate with you, including to send you WRCore news, from which you can unsubscribe in every message; improve the service with aggregated, deidentified statistics that we do not attempt to re-identify; and comply with the law and defend our rights. We do so on the basis of the contract, our legitimate interest, a legal obligation or your consent, as the case may be.

4. With whom we share it

With providers that serve us under contract (cloud hosting and services, backups, email delivery, payments and artificial intelligence); with third parties that a company connects to its account, on its instructions; with authorities, in response to a valid request; to defend rights; and with the acquirer in a merger or sale of the business.

5. International transfers

The data may be processed in the United States and in other countries where our providers operate, with the safeguards the law requires, such as contracts and, where appropriate, transfer clauses, of which you may request a copy.

6. How long we keep it

Each category only as long as needed: account and billing data, during the contract and afterwards as long as the law or the defense of rights requires; technical and security data, as long as needed to protect the platform; and messages, as long as needed to attend to them. The data of each company's customers is kept and deleted according to its instructions and the Data Processing Agreement.

7. Security

We apply reasonable technical and organizational measures, but no system is completely secure.

8. Your rights

Depending on the law that protects you, you may request access to your data, its correction, deletion or portability, object to certain uses or restrict them, withdraw your consent and complain to the data protection authority of your country. Write to us or call us (section 12): we will verify your identity and respond within the period set by your law. If you are a customer of a courier company, contact it; if you write to us, we will forward your request. The steps to request deletion are at www.wrcore.com/legal/en#borrado.

9. Cookies

We use necessary cookies, for the session and access security, and preference cookies, such as language. Some third-party services, for security or connected by a company, may collect browser data under their own policies. We do not use advertising or analytics cookies or track anyone across sites, so the Do Not Track signal changes nothing.

10. Minors

WRCore is directed at businesses, not minors. We do not knowingly collect data from children under 13.

11. Changes to this policy

We publish each version here with its effective date and notify the companies of material changes by email and on the platform.

That email handles privacy questions and requests. WRCore is not directed at individuals in the European Union or the United Kingdom. Disputes between TECNOCOM and a courier company go to the arbitration in the Terms. The Spanish text prevails.

WRCore Data Processing Agreement

Version 4.0 · Effective date: October 19, 2026

1. Purpose

This Agreement is part of the WRCore Terms and Conditions of Use (the "Terms") and is accepted together with them. It governs how TECNOCOM USA CORP ("TECNOCOM"), as processor, processes the personal data for which the company subscribing to WRCore (the "Customer") is the controller. Data for which TECNOCOM is the controller is governed by the Privacy Policy.

2. Description of the processing

  • Purpose and nature: hosting, consulting, calculating, transmitting, retaining, exporting and deleting the data to provide the Customer with the WRCore shipping management platform, including its support and security; it is the only authorized purpose.
  • Data subjects: End Customers, the Customer's partners and contacts, and its staff.
  • Data: identification and contact details, including identity documents; addresses; shipments and deliveries; billing and payments; communications and technical data. The platform does not request special categories; if the Customer uploads them, it does so under its own responsibility.
  • Duration: that of the Terms, plus the period in Section 10.

3. Instructions

TECNOCOM processes the data only on the Customer's documented instructions (the Terms, its account configuration and the written requests of its administrators), including with regard to international transfers. It will inform the Customer immediately if an instruction appears to it to infringe the law and may decline to follow it in the meantime; if a law requires it to process the data otherwise, it will inform the Customer beforehand, unless that law prohibits it. Anything requiring additional work or a change to the service requires a written agreement and, where applicable, a quote.

4. Confidentiality

Only TECNOCOM personnel who need the data to provide the service have access to it, and they are bound by confidentiality.

5. Security

TECNOCOM applies technical and organizational measures appropriate to the risk, which it may replace with others of equal or greater effectiveness, and provides a description of them, under confidentiality, to a Customer that requests it.

6. Subprocessors

The Customer authorizes TECNOCOM to engage subprocessors for cloud hosting and services, backups, email delivery, payments and artificial intelligence, in the United States and other countries, with the safeguards the law requires. TECNOCOM keeps a dated list with the name and location of each one, which it provides to a Customer that requests it in writing. TECNOCOM imposes on them by contract obligations equivalent to those of this Agreement and is liable to the Customer for them. The exception is the artificial intelligence used by the technical team, currently used under its provider's general terms, without a data processing agreement of its own and with model training turned off: it receives only what is strictly necessary for a technical task, TECNOCOM is liable for that use as if it were its own, and it is not used with the data of a Customer that so requests in writing. Before adding or replacing a subprocessor, TECNOCOM will give at least 30 days' notice; the Customer may object on reasonable grounds and, if there is no alternative, terminate without penalty and with a refund of the amount paid and unused. An urgent change may be applied sooner, with those same rights for 30 days from the notice. Providers the Customer engages or connects on its own are not TECNOCOM's subprocessors, nor is the service that protects sign-ins against bots, which acts under its own terms and privacy policy and which the Customer authorizes by using the platform.

7. Data subject rights

If TECNOCOM receives a request from an individual about this data, it will forward it to the Customer without delay, will reply only to say that it was forwarded and will help the Customer respond.

8. Security breaches

TECNOCOM will notify the Customer of any breach affecting this data without undue delay and no later than 48 hours after becoming aware of it, unless an authority orders a delay, with the information available to it so that the Customer can make its own notifications; it will complete that information as it obtains it and will cooperate with the Customer. Notifying is not an admission of fault.

9. Assistance and authorities

TECNOCOM will provide the reasonable information the Customer needs for its impact assessments and its consultations with the authority. If an authority requests this data from it, TECNOCOM will require a valid order, deliver only what is required and, where the law allows, notify the Customer.

10. Return and deletion

Upon termination of the Terms, the Customer has 30 days to export its data. Afterwards, unless otherwise instructed in writing, TECNOCOM deletes it, including from backups, no later than 90 days after termination, except what the law requires to be kept, and confirms the deletion in writing upon request.

11. Information and audits

TECNOCOM makes available to the Customer the information necessary to demonstrate compliance with this Agreement. If that is not enough, the Customer may audit TECNOCOM once a year, and also when its authority requires it or after a breach affecting it, itself or through an independent auditor that is not a competitor and is bound by confidentiality, with 30 days' notice, during business hours, without disrupting the service or accessing other customers' data, and at its own cost.

12. International transfers

The Customer authorizes the transfers to the countries in Section 6 and in its list. If its law requires a transfer instrument, such as the European Commission's standard contractual clauses, TECNOCOM will sign it at no cost, and that instrument will prevail in what it governs.

13. Aggregated statistics

In addition to the purpose in Section 2, TECNOCOM may derive aggregated and deidentified statistics from the data, which it will not attempt to re-identify.

14. Liability and precedence

Liability for breach of this Agreement is governed by the enhanced cap in Section 11 of the Terms. For personal data, this Agreement prevails over the rest of the Terms and over the Privacy Policy. The Spanish text prevails.

How to request deletion of your data

You may ask TECNOCOM USA CORP, owner of WRCore, to delete your personal data, whether or not you have an account.

If you are a customer of a company that uses WRCore, or that company uploaded your data, that company is its controller, and we only process it on its behalf: ask it first. If you write to us, we will forward your request without delay and tell you to whom, but we do not decide on it. We resolve requests about the data for which TECNOCOM is the controller, such as your WRCore user account or your messages.

Write to info@tecnocomusa.com with the subject Deletion of my data and state your name, the company that holds your data if you know it, the email or phone number it knows you by and what you want deleted, all or part. We use that data only to verify that it is you; if we cannot verify it, nothing is deleted.

We respond within the period set by the law that protects you, extendable where the law allows and with notice of the reason.

What the law requires to be kept, such as invoices, and what is necessary to defend rights, such as the record of acceptance of the Terms, is not deleted. Deleted data may remain for a limited time in backups used only to restore, and we cannot delete copies that exist outside WRCore. If anything in this part does not match the Privacy Policy, the Privacy Policy prevails.
